These Terms of Service (“Terms”) govern access to and use of the Obsignor AI governance platform (the “Service”) provided by Obsignor (“Obsignor”, “we”, “us”). By accessing or using the Service, you agree to these Terms. If you are agreeing on behalf of an organisation, you represent that you are authorised to bind that organisation.
1. The Service
Obsignor provides software to help organisations triage, assess, approve, and record governance decisions about their use of artificial intelligence, including AI-assisted drafting and review features. The Service is a decision-support tool. It does not provide legal, regulatory, or compliance advice, and its outputs — including AI-generated content and standards mappings — are aids to human judgement, not determinations. You remain responsible for your governance decisions.
2. Accounts and eligibility
Access is by invitation into an organisation workspace. You must provide accurate account information, keep your credentials secure, and are responsible for activity under your account. You must be at least 18 years old and authorised by your organisation to use the Service. Notify us promptly of any unauthorised use.
3. Customer data and ownership
As between you and us, your organisation owns the data it enters into its workspace (“Customer Data”). You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the Service, including sending content you submit to AI actions to our AI provider to generate responses. We do not sell Customer Data and do not use it to train AI models. Our handling of personal information is described in our Privacy Policy.
4. Acceptable use
You agree not to:
- use the Service in violation of any law or the rights of others;
- upload malicious code, or attempt to gain unauthorised access to the Service, other organisations’ data, or our infrastructure;
- probe, scan, or test the vulnerability of the Service without our prior written consent, or circumvent access controls, quotas, or security features;
- interfere with or disrupt the integrity or performance of the Service; or
- resell or provide the Service to third parties except as expressly permitted.
5. AI-assisted features
Certain features generate content using third-party AI models. AI output may be inaccurate, incomplete, or unsuitable for your purpose. You must review AI output before relying on it, and the Service is designed to keep a human accountable for every approval. We are not liable for decisions made in reliance on AI output without appropriate human review.
6. Fees
Access to paid plans is subject to the fees, usage quotas, and billing terms agreed with your organisation. Usage (including AI operations) may be metered and subject to quotas. Unless stated otherwise, fees are exclusive of taxes.
7. Availability
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, and may perform maintenance that temporarily affects availability.
8. Suspension and termination
We may suspend or terminate access if you breach these Terms, if required to protect the Service or other users, or as otherwise permitted by our agreement with your organisation. Your organisation may stop using the Service at any time. On termination, we handle Customer Data as described in our Privacy Policy, and administrators may export a governance record before an organisation is deleted.
9. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by Obsignor and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, modify, or reverse engineer the Service except as permitted by law.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss, or loss of profits, revenue, data, or goodwill. Where our liability cannot be excluded but can be limited, and to the extent permitted by law, our aggregate liability arising out of or in connection with the Service is limited to the fees paid for the Service in the twelve months before the event giving rise to the liability.
12. Indemnity
You agree to indemnify us against claims, losses, and costs arising from your Customer Data or your use of the Service in breach of these Terms or of applicable law, except to the extent caused by us.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the effective date above and, where appropriate, by notifying organisation administrators. Continued use of the Service after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of Australia and the state in which Obsignor is established, and the parties submit to the non-exclusive jurisdiction of the courts of that state.
